Question: It appears there has been a slight change in the indemnity statement in the County's standard contract compared to recent County contracts. As it has been written for several years in previous contracts with Cherokee County (including RFPs released earlier this year): "...which may be the result of willful, negligent or tortious conduct arising out of the Work, performance of contracted services,..." As it is now written in the language in this new RFP: "...which may be the result of negligent or arising out of the Work, performance of contracted services,..." Question: Is there a typo in this new language where a word is missing somewhere in the stream between the words "negligent" and "or arising". These don't seem to be parallel terms. If so, can you provide how the language should read, similar to that in previous Cherokee contracts? The reason we point this out, is that in the previous contracts with the County, the language was closer to how a 2016 Georgia State Law was written regarding indemnity in public contracts (HB 943 in 2016). For that reason, we always accepted it on contracts with the county and it was insurable. This new language, however, doesn't meet the intent of the 2016 Law and isn't insurable. The reason, is that while we can indemnify for a variety of reasons, we can only defend (pay for the County's defense) in situations where we are negligent, are tortious, or have willful misconduct. We and our insurance can't pay to defend the County in situations that "or" arise from the Work when it's not negligent (i.e. we do everything we should on a project but a third party brings a frivolous lawsuit...we shouldn't have to pay for the county's defense in that situation). We also understand that if a public contract has an indemnity requirement that exceeds the limits outlined in the 2016 law, that the law voids the indemnity statement in its entirety, so it is in the best interest of the county to make the indemnity match the law. We understand that if we object to the language as written in the proposal response, it's likely our proposal wouldn't be accepted, so we wanted to see if this matter could be revisited before the proposals are due.
Response: Seems the sample contract was saved from a version mid-edit. Our standard PSA was updated for A&E contracts last spring. The corrected sample agreement will be added to the project documents.
